Structbuild, Inc. operates an online service located at struct.to from which you may purchase products and services ("Struct Products"). These Terms of Use apply to the content and functionality of struct.to, struct.to/dashboard, and to Struct Products.

1. Information Provided by the User

By accessing struct.to, you may provide personal information to the company. We may transmit electronic communications to your designated address for purposes such as identity verification or the dissemination of critical service updates. By submitting your contact details through the platform, you grant us express authorization to send these essential correspondences to you.

2. Struct Intellectual Property

Struct and its licensors retain exclusive ownership of all rights, titles, and interests regarding patents, copyrights (including derivative works), moral rights, publicity rights, trademarks, logos, trade secrets, and any other intellectual property integrated within the struct.to platform (collectively, "Struct IP"). This property is protected by applicable intellectual property statutes, and Struct reserves all rights not explicitly granted herein.

Furthermore, any comments or suggestions regarding service enhancements ("Ideas") submitted by you are considered voluntary, unsolicited, and provided without restriction. You acknowledge that Struct maintains no fiduciary duty or obligation regarding these submissions and may utilize such Ideas for any purpose without providing attribution or financial compensation to you.

3. Access to Struct.to

Struct hereby grants you a restricted, revocable, non-exclusive, and non-transferable license to access the Struct platform. This grant of access does not convey any ownership or usage rights regarding the platform's underlying content or data. Please be advised that any unauthorized use of the service shall result in the automatic and immediate termination of all granted permissions and licenses.

4. Products, Content, and Specifications

Information regarding the products and services offered for purchase via Struct ("Struct Products") is detailed on the struct.to website. All described features, content, technical specifications, and pricing are subject to modification at any time without prior notification. Except where explicitly stated, all measurements and descriptive data are approximate and intended solely for convenience. The presence of a product or service on the platform at any given time does not guarantee its continued availability or that it will be offered to all users under identical terms. Periodically, the fulfillment of specific services or products may experience delays due to various factors; in these instances, Struct will endeavor to provide timely updates and revised delivery timelines. By initiating an order, you affirm that the purchased items will be utilized strictly in compliance with applicable laws.

5. Subscription Terms

a. Monthly Subscriptions. Struct may provide the option to acquire monthly subscriptions through struct.to, which include a predetermined quantity of credits. Specific conditions governing these subscriptions will be presented during the procurement process; by completing a purchase, you signify your formal acceptance of those terms.

b. Supplemental Credits. As detailed in our official documentation, your plan is designed to auto-scale, consuming additional credits once your fixed monthly allocation is depleted. You will be held responsible for all charges associated with this excess consumption. We advise you to monitor your registered email for usage notifications, as further elaborated in Section 8.

c. Termination of Subscription. Your subscription will automatically renew on a monthly basis until formally cancelled. You maintain the right to terminate your subscription at any time; however, such cancellation may incur a cancellation fee in accordance with your agreement.

6. Account Management

Access to struct.to and the procurement of services may necessitate the creation of a formal account. In such instances, you are obligated to provide precise personal information and maintain the accuracy of these records should your details change. It is your responsibility to preserve the confidentiality of your credentials, as you remain liable for all activities and transactions executed through your account. Struct retains the exclusive authority to terminate your account access at any time, for any reason, at our sole discretion.

7. Customer Responsibilities

By utilizing Struct Products and the struct.to platform, you undertake the following obligations:

  • Maintaining sole accountability for all activities conducted via your account;
  • Adhering strictly to these Terms of Service, associated documentation, and all prevailing laws;
  • Safeguarding against unauthorized access to our Products;
  • Employing commercially reasonable measures to prevent security breaches and providing immediate notification to Struct upon discovery of unauthorized use;
  • Refraining from the sublicensing, leasing, sale, distribution, or transfer of Struct Products for the benefit of any third party;
  • Avoiding intentional interference with the operational integrity of Struct Products or their supporting hardware and networks;
  • Abstaining from any attempt to reverse engineer, decompile, or otherwise extract the source code or underlying architecture of the platform; and
  • Ensuring that no part of the Struct Products or platform is modified, duplicated, or used to create derivative works.

8. Usage Alerts

Struct provides automated alerts to keep you apprised of your credit consumption. Please be advised that credits do not roll over to subsequent periods and are strictly non-transferable. Upon the exhaustion of your monthly credit allocation, you will receive notifications regarding overages, which incur charges separate from your standard subscription fee. You maintain full responsibility for monitoring your monthly usage and any resulting overage costs. Furthermore, you may access the dashboard at any time to review your resource consumption in real time.

9. Billing and Payment Terms

A monthly fee, which includes your base credit allocation, will be debited from your designated payment method at the commencement of each service term. Your service term initiates on the date of plan selection and undergoes automatic monthly renewal until a formal cancellation is processed. Any consumption exceeding your base allocation will be billed at the established overage rate throughout the duration of your service. You acknowledge and accept full responsibility for all incurred overage charges.

10. Refund Policy

Except where otherwise specified, refund eligibility is strictly limited to instances where the provided service fails to align with the advertised product description. In such an event, your sole and exclusive remedy is to petition Struct for a reimbursement. To initiate a formal return request, please contact our support team directly.

11. Sanctions and Export Compliance

You are prohibited from utilizing struct.to or acquiring any Struct services for the benefit of any individual, entity, organization, or nation subject to government embargoes or blocking, including those specifically designated on sanctions lists maintained by the United States Office of Foreign Assets Control (OFAC). Struct makes no representations or guarantees regarding the appropriateness or availability of its platform and products in any specific jurisdiction, nor do we warrant compliance with local regulations or laws governing the export, import, and international use of our services.

12. Disclaimer of Warranties

Struct, struct.to, and Struct IP provide the platform, intellectual property, and products on an "as is" and "as available" basis, devoid of any express, implied, or statutory warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. No information or documentation obtained from Struct, whether oral or written, shall establish any warranty not expressly stated herein.

Struct specifically disclaims any guarantee regarding: (a) the accuracy or reliability of data provided; (b) the suitability of Struct Products for your specific requirements; (c) the uninterrupted, secure, or timely availability of the platform; (d) the correction of any software defects; or (e) the absence of viruses or harmful components. Any engagement with our services is conducted at your own risk, and you assume sole responsibility for any resulting property damage or data loss.

These terms do not exclude or modify any statutory warranties or consumer rights to the extent that such exclusion would violate applicable law or render these terms void.

13. Force Majeure

Neither party shall be held liable or responsible for any failure or delay in the performance of its obligations under these Terms (excluding payment obligations) arising from causes beyond its reasonable control. Such events may include, but are not limited to, acts of God, natural disasters, war, terrorism, civil unrest, labor strikes, government mandates, pandemics, or systemic electrical, telecommunications, or internet utility failures. The party affected by such an event shall use commercially reasonable efforts to mitigate the impact of the delay and resume performance as soon as circumstances permit.

14. Limitation of Liability

Under no circumstances shall Struct be liable for any indirect, punitive, incidental, consequential, or exemplary damages, including loss of profits, personal injury, or property damage, arising from your use or inability to use struct.to. This limitation applies regardless of whether such damages were foreseeable or if Struct was advised of their possibility.

Struct expressly disclaims liability for losses resulting from hacking, tampering, or unauthorized access, as well as your failure to implement necessary security protocols. Furthermore, Struct is not responsible for damages caused by: (a) use inconsistent with our instructions; (b) unauthorized server or data access; (c) the transmission of harmful code; (d) inaccuracies or omissions in data; (e) third-party content; or (f) the unlawful or offensive conduct of third parties.

Any liability not otherwise disclaimed shall be restricted to direct, documented damages and shall not exceed the greater of the total fees paid by you to Struct in the three months preceding the claim or fifty U.S. dollars ($50.00). Notwithstanding these provisions, you acknowledge that your own liability remains unlimited in instances of gross negligence, willful misconduct, fraud, or misrepresentation. These limitations apply across all legal theories, including contract, tort, or strict liability.

15. Governing Law and Jurisdiction

By utilizing struct.to, you agree that the laws of the State of Delaware, USA, shall govern these Terms of Use and any disputes that may arise between you and Struct, without regard to principles of conflict of laws. You further agree that any legal claim, suit, action, or proceeding initiated under this agreement must be brought exclusively in the appropriate state or federal courts located within the State of Delaware.

16. Modifications and Severability

Struct reserves the right to amend or supplement these Terms of Use at any discretion, with such changes applying solely on a prospective basis. We may modify, delete, or discontinue features of struct.to, or impose new usage conditions, by publishing updates to our official website. The current version of these Terms is accessible at any time via our platform, and the "Last Updated" date at the top of this document indicates the most recent revisions. Your continued utilization of our services following the posting of any changes signifies your formal acceptance of the updated Terms.

17. Testimonial Release

You agree to allow Struct to use your company name, logo, and testimonial.

18. Customer Service

Our primary objective is to ensure that our clientele receives exemplary service and that all Struct subscription plans maintain optimal availability and performance.

19. Geographic Restrictions

In compliance with United States sanctions and regulatory requirements, Struct prohibits users with IP addresses originating from the following jurisdictions from establishing accounts or initializing endpoints: Cuba, North Korea, Iran, Syria, or the Crimea region.
